CONTRACTOR DISCLOSURE AGREEMENT & PROCEDURES
Whereas, Unity, Inc, their associates and/or team members (hereinafter referred to as Unity), are requested by the owners of certain real properties to secure bids or estimates for certain repairs and/or maintenance of said real property, and subsequently, as owners’ agent, to notify the vendor selected to commence such maintenance or repairs; and
Whereas, the qualified vendor, their subcontractors, and/or employees (hereinafter referred to as “Vendor”), as a condition precedent to accepting any job order or contract whatsoever from Unity subsequent to this date, hereby agree:
The vendor is an independent contractor, not a contractor or team member of Unity.
Unity shall function as a conveyor of information from the property owner, and shall not be responsible for its accuracy or reliability. Vendors shall verify all contracts, agreements, change orders, and work to be performed with Unity, Inc, the agent for the owner.
The vendor hereby releases Unity from any responsibility or liability originating from the performance of such maintenance and repair by the vendor, their employees, and/or subcontractors. The vendor shall secure any permits required by the City or County and shall submit them with the City Inspector with reports going to Unity, Inc.
The vendor is responsible for insurance to protect all supplies, materials, product liability, and equipment.
The vendor hereby agrees to indemnify and hold harmless Unity, Inc, and properties on which work is performed from any and all claims and costs or liability originating from vendor’s work. The vendor further agrees to sub-contract only to licensed, insured contractors, and to provide Unity with supporting documentation.
The vendor hereby agrees to bill the property owner directly for all costs associated with the performance of said work and further agrees that Unity shall have no responsibility whatsoever for the same.
The vendor understands that contracts of proposals will be executed by an authorized member of the Contraction Association.
Vendor represents that all employees who are assigned to work on the property of the Contracting Association is covered by Workers’ Compensation Insurance.
Vendor represents that all employees who are assigned to work on the property of the Contracting Association have been vetted for legal work status.
Vendor hereby warrants that he/she has, and will maintain throughout the performance of the work, workers’ compensation insurance, auto insurance, and PL/PD insurance in an amount not less than $1,000,000. Unity shall be provided with evidence of said insurance and shall be listed as “additionally insured”.
The vendor understands that the submission of this application does not guarantee that vendor will be awarded work or contracts.
The vendor agrees to provide all information requested in the declaration that accompanies this disclosure and to submit all future billings to iipm@payableslockbox.com.
