Board members and committee members
Property managers and management staff
Vendors and service providers (if granted access)

2. Definitions
For purposes of these Terms:
“Company,” “we,” “us,” or “our” means UTP, LLC.
“Unity” means Unity, Inc., as the platform technology provider powering the Services.
“Community” means the homeowners association, condominium association, or other community organization associated with your account.
“User,” “you,” or “your” means any person accessing or using the Services.
“Content” includes information, messages, files, images, forms, submissions, and other materials made available through the Services.
“User Content” means Content that you submit, upload, transmit, or post.
3. Who the Services Are For
The Services support communication, record delivery, requests, announcements, payments, and community operations.
The Services are intended for use by authorized Users associated with a Community, including both:
Resident facing functionality (such as account details, payments, requests, documents, notices)
Board facing functionality (such as governance documents, community messages, operational tools, and limited administrative functions)
Some features may only be available to certain Users based on role permissions.
4. Account Registration and Access
To use certain features, you may need to create an account or be invited to access one.
You agree to:
Provide accurate and complete information
Keep your account information current
Maintain the confidentiality of your login credentials
Promptly notify us of any unauthorized access or security concerns
You are responsible for all activity that occurs under your account.
5. Acceptable Use
You agree not to use the Services to:
Violate any law or regulation
Infringe the rights of others
Harass, threaten, defame, or abuse others
Upload viruses or harmful code
Attempt unauthorized access to accounts, systems, or data
Interfere with the operation, security, or performance of the Services
Use the Services to send spam, bulk messages, or misleading communications
We may suspend or terminate access to the Services if we believe your use violates these Terms, risks harm, or compromises security.

By using the Services, you agree that we and your Community may communicate with you electronically, including through:

Other digital delivery methods permitted by law
You are responsible for maintaining current contact information so that notices and communications can be delivered.
7. Community Content and Official Records
The Services may provide access to documents such as:
Governing documents (CC and Rs, bylaws, rules)
Meeting materials (agendas, minutes, disclosures)
Financial reports and budgets
Policy documents
Notices and community updates
Availability may vary depending on what has been uploaded or enabled by the Community.
8. Payments and Transactions (If Applicable)
If the Services allow payment submission, you agree that:
Payments may be processed by third party payment providers
Processing times may vary
Fees may apply (for example, convenience or processing fees), depending on payment method
You are responsible for confirming payment amounts, timing, and accuracy before submission
The Services may display account balances and payment history; however, posted information may take time to update and may not reflect pending adjustments.
9. Requests, Maintenance, and Submissions
The Services may allow you to submit requests (such as architectural requests, maintenance requests, general inquiries, or other forms).
You agree:
Requests submitted through the Services do not guarantee immediate action or approval
Some requests may require additional documentation, inspection, or confirmation
The Community may respond through the Services, email, or another delivery method
The Services do not replace emergency services
For urgent or emergency matters, contact the appropriate emergency service provider and follow Community procedures.
10. User Content
A. Your Responsibilities
You are responsible for the Content you submit through the Services.
You represent that your User Content:
Is accurate to the best of your knowledge
Does not violate any laws or third party rights
Does not contain confidential or restricted information you are not authorized to share
B. License to Use User Content
By submitting User Content, you grant the Company a limited, non exclusive license to host, store, reproduce, and display that User Content only as necessary to provide, operate, and improve the Services.
11. Privacy
Your use of the Services is subject to our Privacy Policy.
We encourage you to review the Privacy Policy to understand how personal information is collected, used, and shared.
12. Intellectual Property
The Services, including software, design elements, text, graphics, and functionality, are owned by or licensed to UTP, LLC and its licensors, and are protected by applicable intellectual property laws.

You agree to defend, indemnify, and hold harmless UTP, LLC, Unity, Inc., and their respective officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
Your use of the Services
Your violation of these Terms
Your User Content
Your violation of any rights of another person or entity
18. Termination
We may suspend or terminate your access to the Services at any time if:
You violate these Terms
We reasonably believe your activity poses a security risk
We are required to do so to comply with legal obligations
You may stop using the Services at any time.
Certain sections of these Terms survive termination, including sections regarding intellectual property, disclaimers, limitation of liability, indemnification, and dispute terms.

If a dispute arises relating to the Services, you agree to first attempt to resolve it informally by contacting us.
If informal resolution is not successful, disputes will be handled under the laws of the state listed in Section 20, unless otherwise required by applicable law.

If you provide Services to Communities located in California, you may choose California as the governing law.
